Terms of Service

1. Eligibility — 18+ Only

You must be at least 18 years old to use Hai. By using the Service, you represent and warrant that you are 18 or older. We reserve the right to terminate accounts where we discover the user is under 18.

If you are in a jurisdiction where the age of majority is higher than 18, you must meet that higher age requirement.

2. Nature of the Service — AI Personas

• Hai companions are fictional AI personas designed for companionship, entertainment, and emotional engagement
• Conversations may feel personal and emotionally resonant — that is by design — but they do not constitute a real human relationship
• Hai companions have no legal standing, cannot enter into agreements, and create no legal obligations between you and Hai or its characters
• Hai is not a substitute for professional mental health care, therapy, medical advice, or human connection. If you are experiencing mental health difficulties, please consult a qualified professional
• AI-generated responses may occasionally be inaccurate, inconsistent, or unexpected. Do not rely on Hai for factual information, medical advice, legal advice, or emergency guidance

3. Account and Access

Hai currently operates on an invite/access-code system. You are responsible for keeping your access credentials secure. Sharing your access code may result in termination of your access.

You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to use Hai to:

• Attempt to extract illegal content, harmful instructions, weapons guidance, or anything that would violate applicable law
• Generate, solicit, or distribute child sexual abuse material (CSAM) — any such attempt will result in immediate termination and may be reported to law enforcement
• Harass, stalk, or threaten any person through the Service
• Reverse-engineer, scrape, or attempt to extract the underlying AI models, prompts, or proprietary data
• Circumvent access controls or attempt to access other users' data
• Use the Service in violation of any applicable local, national, or international law or regulation
• Misrepresent your identity or age

5. Content You May Encounter

Hai is an adult platform (18+). Conversations may include:

• Romantic and emotionally intimate exchanges
• Mature themes and adult subject matter
• Content that simulates deep personal connection

You acknowledge you are an adult and consent to this type of content.

6. Intellectual Property

Your content: You retain any rights you have in the messages and content you submit to Hai. By using the Service, you grant Hai a limited license to process your messages solely to provide the Service (including transmitting them to AI providers).

AI-generated content: Responses generated by the AI companions are produced by third-party language models. The ownership of AI-generated text may vary by jurisdiction. Hai does not claim copyright in AI-generated responses, but also cannot guarantee they are free of third-party rights.

Hai's IP: The Hai platform, branding, personas, design, and underlying system are owned by Hai Global Inc. and protected by intellectual property law. You may not reproduce, distribute, or create derivative works from them without our written permission.

7. Limitation of Liability

To the fullest extent permitted by law:

• Hai is provided "as is" and "as available" without warranties of any kind
• Hai is not responsible for any emotional distress, psychological effects, or decisions you make based on AI companion interactions
• Hai is not liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability to you for any claim will not exceed the greater of $100 USD or the amount you paid us in the past 12 months

8. Indemnification

You agree to indemnify and hold harmless Hai Global Inc., its officers, directors, and employees from any claims, damages, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

9. Termination

We may suspend or terminate your access at any time, with or without notice, for:

• Violation of these Terms
• Conduct we reasonably believe is harmful to other users, us, or third parties
• Fraudulent activity

You may stop using the Service at any time and request data deletion per our Privacy Policy.

10. Dispute Resolution

Binding Arbitration: Any dispute arising from these Terms or the Service will be resolved by binding individual arbitration under the American Arbitration Association (AAA) Commercial Rules, not in court, except for claims that qualify for small claims court.

Class Action Waiver: You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exception: Either party may seek emergency injunctive relief in a court of competent jurisdiction.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Subject to the arbitration clause above, disputes will be resolved in Delaware.

12. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will post a notice in the app at least 14 days before the changes take effect, and update the effective date above. Continued use after the effective date constitutes acceptance of the updated Terms.

13. Miscellaneous

• Severability: If any provision of these Terms is found unenforceable, the rest remains in effect
• Entire Agreement: These Terms, together with our Privacy Policy and Safety Policy, constitute the entire agreement between you and Hai
• No Waiver: Failure to enforce any provision does not waive our right to enforce it later
